Terms of Service
These Terms of Service (the "Terms") set forth the conditions for using the application miggy (the "Service") provided by {{事業者名}} (the "Operator"). You agree to these Terms before using the Service, and you are deemed to have agreed at the time you use the Service.
1. Scope
- These Terms apply to all relationships between the Operator and users regarding the use of the Service.
- Individual rules and guidelines posted by the Operator from time to time form part of these Terms. If they conflict with these Terms, the individual rules prevail.
2. Definitions
- "Content" means text, audio, images, videos, software, programs, code, and other information.
- "User Content" means Content that users send, share, or store using the Service.
- "Operator Content" means Content provided by the Operator through the Service.
3. Changes to the Terms
- These Terms constitute standardized terms under the Civil Code of Japan, and the Operator may amend them where the amendment conforms to users' general interest, or is not contrary to the contract's purpose and is reasonable.
- When amending, the Operator will set an effective date and announce the amended terms and effective date by in-app display or other appropriate means a reasonable period beforehand.
- If you use the Service after the effective date, you are deemed to have agreed to the amended Terms.
4. Eligibility
- You may not use the Service if you are under 13 years of age.
- Minors must obtain the consent of a parent or guardian. The parent or guardian is deemed to have agreed to these Terms with respect to the minor's use.
- Persons previously sanctioned for violating these Terms, and persons under Article 16, may not use the Service.
5. Accounts and Authentication
- The Service uses anonymous authentication based on keys generated by your device. You are responsible for managing your device, keys, and tokens at your own risk; the Operator is not liable for damages from inadequate management.
- Your account belongs exclusively to you. You may not transfer, lend, or sell it, and it is not subject to inheritance or succession.
- You may lose access to your data if you lose your device or keys or delete your account. The Operator has no obligation to restore the data.
6. Intellectual Property
- All intellectual property rights in the Service and Operator Content belong to the Operator or its licensors. You are granted only a non-transferable, non-sublicensable, non-exclusive right to use the Service as permitted by these Terms.
- Intellectual property rights in User Content remain with you or the legitimate rights holder.
- You grant the Operator a royalty-free license to use User Content as necessary to provide, maintain, and improve the Service (storing, copying, transmitting, displaying, thumbnails, format conversion), and agree not to exercise moral rights with respect to such use.
- You represent and warrant that you have the lawful rights to send and share your User Content and that it does not infringe third-party rights.
7. Prohibited Conduct
You must not engage in, or cause a third party to engage in, any of the following:
- Acts violating laws or public order and morals
- Criminal acts, or announcing, inciting, or assisting them
- Infringing others' rights (privacy, likeness, IP, reputation, credit, etc.)
- Sending or sharing obscene, violent, discriminatory content, child pornography/abuse, or other inappropriate content
- Sending or sharing content that induces suicide, self-harm, or drug abuse
- Harassment, threats, bullying, stalking, or nuisance behavior
- Impersonation, or registering/spreading false information
- Using the Service to seek romantic or sexual encounters with strangers, or for dating, solicitation, MLM, religious or commercial recruiting
- Spam, unsolicited advertising, or mass transmission of identical/similar content
- Automated operation (bots/cheat tools), unauthorized access, or placing excessive load on servers/networks
- Interfering with operation, or reverse engineering, decompiling, disassembling, or analyzing the Service
- Copying, reselling, redistributing, or lending the Service or Operator Content beyond the intended manner
- Acts harmful to minors or violating children's rights
- Providing benefits to or cooperating with anti-social forces
- Attempting, preparing for, or assisting any of the foregoing
- Any other conduct the Operator reasonably deems inappropriate
8. Handling of User Content
- You are responsible for your User Content. The Operator does not guarantee its legality or accuracy.
- You are responsible for backing up important data. Except under Article 14, the Operator is not liable for loss or damage of User Content.
- If the Operator reasonably determines User Content violates or may violate these Terms or laws, it may remove or restrict it without prior notice and has no obligation to disclose reasons.
9. Reporting and Blocking
- You can report inappropriate content or users via the in-app report feature.
- You can block other users to stop their messages, friend requests, shares, and more.
- Upon receiving a report, the Operator reviews it and may issue warnings, remove content, or suspend accounts as necessary.
10. Messages (Secrecy of Communications)
- One-to-one messages (DMs) are end-to-end encrypted, and the Operator cannot read their contents.
- The Operator respects the secrecy of communications as a telecommunications carrier, except where required by law.
11. Advertising
The Service may display third-party advertisements. Handling of advertising-related information is governed by the Privacy Policy and the Disclosure on External Transmission.
12. Restriction and Suspension of Use
- If the Operator reasonably determines you violated these Terms or laws, it may restrict use, remove content, or suspend/delete your account without prior notice.
- The Operator is not liable for damages from measures under this Article.
13. No Warranty
- The Operator makes no warranty, express or implied, of fitness for purpose, functions, accuracy, usefulness, continuous availability, or freedom from defects, errors, or security flaws.
- The Service is provided "as is."
14. Damages and Disclaimer
- Except for willful misconduct or gross negligence, the Operator is not liable for damages from use or inability to use the Service.
- For the Operator's negligence (excluding gross negligence), liability is limited to direct and ordinary damages actually incurred, excluding lost profits and special damages. Because the Service is free, liability is capped at JPY 10,000.
- The preceding paragraphs do not apply where invalid under the Consumer Contract Act or other mandatory laws.
- Disputes between users, or between a user and a third party, must be resolved between the parties; the Operator has no obligation to be involved.
15. Your Liability
- If you violate these Terms and cause damage to the Operator, you must compensate that damage.
- If the Operator receives a third-party claim arising from your use, you must indemnify the Operator for damages and expenses (including reasonable attorneys' fees).
16. Exclusion of Anti-Social Forces
- You represent and warrant, now and in the future, that you are not an anti-social force and have no socially condemnable relationship with such forces.
- If the Operator reasonably determines you violate or may violate the preceding paragraph, it may suspend your use or take other measures without prior notice.
17. Changes, Suspension, and Termination of the Service
- The Operator may suspend all or part of the Service without prior notice for maintenance, force majeure, system failure/overload, or when it reasonably deems necessary.
- The Operator may change the Service's content or terminate it, endeavoring to announce termination a reasonable period in advance.
18. No Assignment
- You may not assign or pledge your position or rights/obligations under these Terms without the Operator's prior written consent.
- If the Operator transfers the Service business to a third party, it may transfer its position, rights/obligations, and user information to the transferee, and you consent in advance.
19. Severability
If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.
20. Survival
Article 5.3, Article 6, Article 8, Article 12.2, Articles 13–16, and Articles 18–22 survive the termination of your use.
21. Language
The Japanese text of these Terms is authoritative. Even if a translation is prepared for reference, only the Japanese text has effect.
22. Governing Law and Jurisdiction
These Terms are governed by the laws of Japan. {{管轄裁判所(例: 大阪地方裁判所)}} has exclusive agreed jurisdiction as the court of first instance for disputes between the Operator and users.
